These Terms of Service ("Terms") govern your access to and use of services provided by MACAW Security, Inc. ("MACAW Security," "we," "us," or "our"), including the MACAW Console, LocalAgent, APIs, and SDK (collectively, the "Services").

By using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

1. Definitions

"Account" - Your registered account to access the Services
"Customer Data" - Data you submit to or process through the Services
"Documentation" - Technical documentation at docs.macawsecurity.ai
"Services" - All MACAW products including Console, API, LocalAgent, and SDK

2. Account and Access

2.1 Registration

You must provide accurate registration information and maintain the security of your credentials. You are responsible for all activity under your Account.

2.2 Access

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services in accordance with the Documentation.

3. Acceptable Use

You agree not to:

Use the Services for unlawful purposes or to violate third-party rights
Attempt to gain unauthorized access to the Services or related systems
Interfere with or disrupt the Services
Reverse engineer, decompile, or disassemble the Services
Use the Services to develop a competing product
Circumvent security features or access controls
Resell or redistribute access without authorization
Use the Services in violation of export control laws

4. Customer Data

4.1 Ownership

You retain all rights to your Customer Data. We do not claim ownership of your data.

4.2 License to Us

You grant us a limited license to process your Customer Data solely to provide the Services and as described in our Privacy Policy.

4.3 Your Responsibilities

You are responsible for the accuracy, legality, and appropriateness of your Customer Data, and for ensuring you have necessary rights and consents.

4.4 No Compliance Guarantee

The Services provide policy enforcement and security controls. You remain solely responsible for your compliance with applicable laws and regulations. MACAW Security is an enforcement mechanism, not a compliance oracle. Decisions made by your agents, configurations, and workflows are your responsibility.

5. Service Levels

5.1 Free Tier

The free tier provides access to a shared multi-tenant environment with limited features. We may modify or discontinue free tier access at our discretion.

5.2 Paid Subscriptions

Paid subscriptions are billed in advance. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice.

5.3 Availability

We strive to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible.

6. Intellectual Property

6.1 Our IP

The Services, including software, APIs, and documentation, are owned by MACAW Security. These Terms do not transfer any ownership rights to you.

6.2 Feedback

If you provide feedback about the Services, you grant us a perpetual, royalty-free license to use that feedback without obligation.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
WARRANTIES OF NON-INFRINGEMENT
WARRANTIES THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED
WARRANTIES REGARDING THIRD-PARTY INTEGRATIONS

AI AND AGENT LIMITATIONS: The Services involve AI and agent technologies. We do not guarantee specific outcomes from policy enforcement. You are responsible for reviewing and validating agent behavior and outputs.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY ARISING FROM THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless MACAW Security and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

Your Customer Data, configurations, policies, or workflows
Your use of the Services in violation of these Terms
Your violation of applicable laws or third-party rights
Your integration with third-party systems or services
Actions taken by agents or systems you deploy using the Services
Claims that your use of the Services caused harm to third parties

10. Term and Termination

These Terms are effective until terminated. Either party may terminate: (a) for convenience with 30 days' notice; or (b) immediately if the other party materially breaches and fails to cure within 30 days of notice.

Upon termination: (a) your access to the Services ends; (b) you remain liable for fees incurred; (c) we may delete your data after a reasonable retention period (typically 30 days).

11. General Provisions

Governing Law: These Terms are governed by the laws of the State of California, without regard to conflict of laws principles.

Jurisdiction: Disputes shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

Entire Agreement: These Terms, our Privacy Policy, and any Order Forms constitute the entire agreement. Enterprise customers may negotiate separate Master Service Agreements that supersede these Terms.

Amendments: We may update these Terms with notice via email or the Console. Material changes take effect 30 days after notice. Continued use constitutes acceptance.
